Welcome to Aitisal. These Terms and Conditions ("Terms") govern your use of the services provided by Aitisal Private Limited ("Aitisal," "we," "us," or "our"), including our SaaS platform for restaurant and retail storefronts and our marketplace application (collectively, the "Services").
By accepting these Terms and Conditions of Service (TOS) or by accessing or using the Service or Site, You acknowledge that you have read, understood, and agree to be bound by this TOS. If You are entering into this TOS on behalf of a company or other legal entity, You represent that You have the authority to bind such entity and its affiliates to these TOS, in which case the terms "you" or "your" shall refer to such entity and its affiliates. If You do not have such authority, or if you do not agree with these TOS, You must not accept these TOS and may not use the Service.
Aitisal may change this TOS from time to time without prior notice. You can review the most current version of this TOS at any time at www.blinkco.io. The revised terms and conditions will become effective upon posting, and if You use the Service after that date, we will treat your use as acceptance of the revised terms and conditions. If any change to this TOS is not acceptable to you. Your only remedy is to stop accessing and using the Service.
By using our Services, you agree to these Terms.
1. Description of Services
Aitisal provides a technology platform that connects end consumers with restaurants and retailers ("Clients"). Our Services include:
- A SaaS platform for clients to build and manage their own online storefront.
- A branded marketplace where end consumers can discover and place orders from our Clients.
2. User Accounts
- Marketplace Consumers: To place an order on our marketplace, you must create an account by providing your name, email address, and a password. You are responsible for maintaining the confidentiality of your account information.
- SaaS Clients: Your use of the SaaS platform is governed by the onboarding contract signed with Aitisal. You are responsible for maintaining the confidentiality of your account information. Aitisal does not have any responsibility to manage or use the platform on your behalf.
3. Ordering and Fulfillment
- Role of Aitisal: Aitisal acts as a technology intermediary to facilitate orders between end consumers and our Clients. We are not responsible for the preparation, quality, sale, or delivery of any products.
- Responsibility of Clients: Our Clients are solely responsible for:
- The accuracy of their menu, product information, pricing, and availability.
- Fulfilling and delivering orders to the end consumer.
- The quality and safety of their products.
- Delivery: Delivery is the sole responsibility of the Client. Aitisal may provide integrations with third-party logistics companies (e.g., Bykea, Speedway), but the contract and liability for delivery services remain between the Client and the logistics provider, independent of Aitisal.
4. Content and Intellectual Property
Aitisal Intellectual Property
- The Aitisal platform, software, branded marketplace, and all associated technology, trademarks, designs, and proprietary materials remain the exclusive property of Aitisal Technologies.
- Clients are granted a limited, non-transferable, non-sublicensable right to use the platform solely for their internal business purposes.
- Clients may not copy, replicate, modify, distribute, sublicense, or resell the platform or any part of it, unless explicitly taken a written approval.
Client Content
- Clients retain full ownership of all content they upload to the platform, including logos, product images, menu descriptions, and other materials ("Client Content").
- By uploading Client Content, Clients grant Aitisal a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute such content strictly for the purpose of providing, improving, and promoting Aitisal's services.
Client Representations and Warranties
- Clients warrant that they own or have valid rights to all Client Content and that such content is accurate, lawful, and non-infringing.
- Clients agree to indemnify and hold Aitisal harmless against any claims, damages, or liabilities arising from Client Content.
Liability Disclaimer
Aitisal does not verify the authenticity, accuracy, or legality of Client Content and shall not be held responsible for any misrepresentations or third-party claims related to such content.
5. Prohibited Uses
You may not use the Services for any fraudulent or unlawful purpose. This includes placing fraudulent orders or misusing promotional offers. Aitisal reserves the right to develop and enforce fraud prevention rules and suspend accounts that violate these terms.
6. Fees and Payments
- For SaaS Clients: Service fees are structured as per the pricing options on our website (https://www.aitisaltech.com/) and as detailed in your onboarding contract. Fees are due within seven (7) days of the start of each month's billing cycle.
- Marketplace Orders: Aitisal will charge a percentage-based commission on every order processed through the marketplace to the clients, as agreed upon in the onboarding contract.
7. Limitation of Liability
Aitisal Private Limited shall not be liable for any issues arising from an order, including but not limited to, incorrect items, poor food quality, late delivery, or any other failure on the part of the Client. Our liability is strictly limited to the provision of the technology platform.
For marketplace orders, our customer support team may help facilitate communication regarding disputes, but the ultimate responsibility and liability rest entirely with the Client.
8. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Pakistan. Any dispute arising out of or in connection with these Terms shall be subject to arbitration in Karachi.
